PotlatchDeltic Acquisition
PotlatchDeltic was acquired by Rayonier for $3.3B on 14 October 2025.
The acquisition price implies a 22.5x EBITDA multiple.
Rayonier, a timberland REIT based in Wildlight, Florida, merged with PotlatchDeltic, a Spokane, Washington-based timberland owner and lumber manufacturer operating sawmills in locations including Waldo and Ola, Arkansas, with regional headquarters in El Dorado. The all-stock merger of equals, announced October 13-14, 2025, closed January 30, 2026, creating a company with over 4 million acres of U.S. timberland, seven paper mills, and commercial real estate developments, headquartered in Atlanta under the Rayonier name initially, with a new name planned for Q1 2026. The combined entity holds a pro forma equity market cap of $7.1 billion and enterprise value of $8.2 billion including $1.1 billion net debt, positioning it as the second-largest publicly traded timber and wood products company in North America, targeting housing market recovery, higher-and-better-use real estate, and natural climate solutions. Under final terms in a February 2, 2026 SEC filing, PotlatchDeltic shareholders received 1.8185 Rayonier shares per PotlatchDeltic share, valuing the transaction at $3.2-3.25 billion based on Rayonier's January 30 closing price, plus 61 cents per share cash from a special dividend totaling $47 million paid to Rayonier shareholders on December 12, 2025. Initial terms offered 1.7339 shares implying $44.11 per PotlatchDeltic share, an 8.25% premium to its October 10, 2025 close, with Rayonier shareholders owning 54% and PotlatchDeltic 46% post-merger. The deal expects $40 million in annual synergies from corporate and operational savings within 24 months. Strategic rationale emphasizes complementary assets for sustainability, value creation, and optimization beyond standalone capabilities, as stated by Rayonier CEO Mark McHugh and PotlatchDeltic CEO Eric Cremers. Regional offices will persist in Wildlight and Spokane amid improving market conditions, though Rayonier's stock fell from $25.44 pre-announcement to $22.74 at close.
