RHP retained a controlling 70% stake and board majority, with Atairos adding two directors. The transaction closed in Q2 2022, around June 16, accompanied by RHP issuing a $300 million term loan B secured by OEG assets to repay prior debt. Atairos, focused on growth-oriented businesses, partnered strategically with NBCUniversal to accelerate OEG's national expansion using media, technology, and content expertise. Atairos holds put rights exercisable after four or seven years under certain IPO-related conditions, settleable in cash or stock by RHP, impacting RHP's balance sheet via a non-controlling interest liability. |
