Atairos agreed to an additional contingent $30 million investment upon performance targets, raising the valuation to $1.515 billion. The deal positioned OEG for independent growth as an integrated country lifestyle platform, separate from RHP's core hospitality business, while allowing RHP shareholders to benefit from upside. RHP retained a controlling 70% stake and board majority, with Atairos adding two directors. The transaction closed in Q2 2022, around June 16, accompanied by RHP issuing a $300 million term loan B secured by OEG assets to repay prior debt. Atairos, focused on growth-oriented businesses, partnered strategically with NBCUniversal to accelerate OEG's national expansion using media, technology, and content expertise. Atairos holds put rights exercisable after four or seven years under certain IPO-related conditions, settleable in cash or stock by RHP, impacting RHP's balance sheet via a non-controlling interest liability.
