Neoen, a leading global renewable energy developer headquartered in France, specializes in developing, constructing, financing, and operating renewable energy projects, with expertise in battery storage technology and a world-class portfolio of assets. Brookfield Asset Management, a leading global alternative asset manager with over $925 billion in assets under management focused on renewable power, infrastructure, private equity, real estate, and credit, completed the acquisition of a 53.12% majority stake in Neoen on December 27, 2024, from sellers including Impala, Fonds Stratégique de Participations (FSP) managed by ISALT, Cartusia, Xavier Barbaro, and other shareholders, at €39.85 per share. The transaction followed exclusive negotiations announced on May 30, 2024, and a share purchase agreement signed on June 24, 2024, after Neoen's works council consultation, subject to regulatory approvals including antitrust and foreign investment clearances obtained by Q4 2024. Post-block acquisition, Brookfield Renewable Holdings, exclusively controlled by Brookfield, became Neoen's majority shareholder and launched a mandatory simplified cash tender offer on February 13, 2025, for remaining shares and OCEANe convertible bonds at €39.85 per share and €103,562.50 per OCEANE, with Bpifrance (via ETI 2020 fund, holding 4.36%) committed to tender. The tender offer closed successfully on March 13, 2025, resulting in Brookfield and concert parties (including Brookfield affiliates, Temasek-controlled Aranda Investments, and Barbaro entities) holding 97.73% of Neoen's share capital (158,568,130 shares), enabling a planned squeeze-out and delisting. Neoen's Board unanimously welcomed the deal, appointing Finexsi as independent expert. Strategically, Brookfield aims to accelerate Neoen’s development, leverage its capital access, expertise, and track record to scale growth amid rising clean power demand, preserve Neoen’s culture, diversify into key renewables markets, and strengthen global leadership, building on Neoen’s platform under prior Impala sponsorship.
