Jul 2020Undisclosed stageTA Associates (lead)$151M$7.1BNational Stock Exchange of India (NSE) is the world's largest stock exchange by trading volume and operates in capital markets, fixed income securities, and derivatives. In July 2020, TA Associates invested approximately $150 million (Rs 1134 crore) to acquire over 2% stake (reported as 2-2.3%) from existing investors in a secondary transaction. This deal implied a valuation of approximately $6.5 billion for NSE. The investment aligns with TA Associates' focus on growth in financial services and exchanges globally, including prior stakes in InterContinental Exchange and Bats Global Markets. TA expects robust growth in Indian trading volumes driven by financialization of savings over the next five to six years. This marked TA's third India investment in 2020, following Accion Labs and Indira IVF, as part of over $1 billion deployed in 15 Indian companies. NSE's investor base includes entities like IL&FS Investment Managers and Patni Family Office.
Jun 2016Undisclosed stageChrysCapital (lead); GIC (lead)$134M$2.7BNational Stock Exchange of India (NSE) is India's leading stock exchange and the world's largest derivatives exchange by volume, pioneering electronic trading since 1994. In June 2016, ChrysCapital and GIC together acquired a 5% stake from State Bank of India (SBI) in a deal valued at Rs. 900 crore at Rs. 4,000-4,050 per share, implying a full post-money valuation of Rs. 18,000 crore. This secondary transaction allowed state-owned banks to offload non-core assets amid bad loan pressures. ChrysCapital Investment Advisors India Pvt. Ltd. and Singapore's sovereign wealth fund GIC Pte jointly bid for the entire stake through a bidding process managed by SBICAP, with bids due by May 19, 2016. The deal closed shortly after, marking a significant PE investment in NSE's unlisted shares, which trade actively in the unlisted market. Prior to this, IDBI Bank sold a 2% stake to LIC in March 2016. The 5% stake became ChrysCapital Fund VI's last major asset, delivering strong returns. In April 2024, ChrysCapital raised a $700 million single-asset continuation vehicle led by HarbourVest Partners, LGT Capital Partners, and Pantheon, transferring the NSE stake while offering Fund VI LPs a 6x USD return option or rollover. GIC also exited the continuation fund. NSE reached a valuation of INR 1.45 trillion (USD 17.4 billion) in September 2023 based on unlisted trading prices. NSE's financial stability is evident from later metrics, with FY2023 revenue of INR 35.4 billion and net profit of INR 18.1 billion, underscoring its market dominance. The 2016 investment highlighted NSE's appeal due to its technology-driven platform, innovation focus, and growth in India's capital markets, attracting global investors despite no IPO at the time.
