Merus Acquisition

Merus was acquired by Genmab for $8B on 29 September 2025.

Before the acquisition Merus had raised $124M across 2 funding rounds.

Merus N.V., a Dutch clinical-stage oncology company (NASDAQ: MRUS), develops bi/tri-specific antibodies targeting unmet needs in cancer, with its lead asset petosemtamab, a bispecific antibody against EGFR and LGR5, advancing in Phase 3 for head and neck squamous cell carcinoma (HNSCC) and showing potential in colorectal cancer. Petosemtamab received two Breakthrough Therapy Designations and demonstrated nearly 80% one-year survival in Phase 2 HNSCC patients when combined with Keytruda, positioning it as a potential market leader with analyst-projected peak sales of $3-4 billion in HNSCC alone and multibillion-dollar potential overall. Genmab A/S (CPH: GMAB), a Danish antibody drug specialist, agreed to acquire Merus on September 29, 2025, in an all-cash deal valued at $8.0 billion, or $97 per share, a 41% premium to the prior closing price. The acquisition, completed via tender offer by December 12, 2025, adds petosemtamab to Genmab's late-stage pipeline, accelerating its shift to a wholly owned model and diversifying revenue for sustained growth into the next decade. Genmab anticipates launching petosemtamab in 2027, subject to Phase 3 results expected in 2026 and regulatory approvals, projecting $1 billion in annual sales by 2029 and accretive EBITDA impact by year-end. The deal aligns with Genmab's oncology expertise, enhancing its four programs targeting 2027 market entries amid a robust M&A environment for European biotechs, underscored by EQT Life Sciences' long-term investment since 2010. This transaction, one of Europe's largest biotech acquisitions, reflects competitive dynamics in bispecific antibodies for solid tumors, with Genmab betting on petosemtamab's transformative potential in HNSCC despite pending colorectal data.
