Feb 2026SecondaryDeutsche Börse$1.3B$5.5BDeutsche Börse Group agreed to acquire the remaining 20% minority stake in ISS STOXX from General Atlantic for €1.1 billion, payable in two tranches: €731 million in February 2026 and the balance in March 2026. The transaction, priced at approximately 20x ISS STOXX’s adjusted EBITDA, grants Deutsche Börse full ownership of the data, analytics, and index provider, effective end of March 2026. ISS STOXX resulted from the 2023 combination of ISS’s stewardship and ESG solutions with the STOXX index business, following Deutsche Börse’s 2019 acquisition of Axioma. Full ownership enhances operational agility, simplifies growth strategy execution, and strengthens go-to-market connectivity within Deutsche Börse Group. ISS STOXX holds global leadership in governance solutions, is a top 3 sustainability player, and provides leading European indices with global reach, serving buy-side clients. The deal is financed with cash and debt, expected to be low single-digit accretive to Cash EPS in the first year, maintaining the group’s AA- rating. The buyout follows a dual-track process allowing General Atlantic an exit via IPO or sale under pre-agreed peer-based multiples, ultimately opting for the buyout as listing plans were shelved.
