The deal is expected to close by the end of the first quarter of 2027 and is projected to be materially accretive to earnings, with roughly $280 million of net expense synergies and about 35% anticipated 2027 adjusted EPS accretion. The combined company is expected to have roughly $571 billion in client assets and about $3.2 billion in annual revenue, with the transaction moving Victory closer to its long-term goal of managing $1 trillion in assets. First Eagle is a privately owned investment management firm headquartered in New York and managed about $222 billion in assets under management as of July 31, 2026. Its platform includes global multi-asset, equity, fixed income, and alternative credit strategies, including a $41 billion CLO and alternative credit business that will complement Victory’s existing product set. First Eagle was owned by Genstar Capital prior to the announced sale.
