The acquisition price implies a 2.4x revenue and 12.8x EBITDA multiple on $1.2B of revenue.
CSG Systems International, Inc. (NASDAQ: CSGS), a Denver-based provider of customer engagement, revenue management, billing, and payments SaaS solutions primarily serving telecom, broadband, financial services, healthcare, media, retail, and logistics industries, has entered into a definitive agreement to be acquired by NEC Corporation (TSE: 6701), a Japanese technology firm leveraging AI, security, and communications technologies. Announced on October 29, 2025, the deal values CSG at $80.70 per share in cash, equating to an enterprise value of approximately $2.9 billion (JPY 438.5 billion, including debt), representing a 17.38% premium to CSG’s closing price of $68.75 on October 28, 2025, and a 23.07% premium to its 30-day VWAP. The acquisition, structured as a reverse triangular merger, will make CSG a wholly-owned subsidiary of NEC upon closing, expected within the 2026 calendar year subject to shareholder approval, regulatory clearances, and customary conditions. Strategically, it bolsters NEC’s digital transformation leadership by integrating CSG’s SaaS portfolio with NEC subsidiary Netcracker’s BSS and OSS expertise, enabling expanded offerings for global communication service providers and high-growth sectors, cross-selling opportunities, enhanced operational efficiency, and AI/cloud innovation. NEC anticipates 7.7% Non-GAAP EPS accretion at closing without synergies, with further upside from integration, surpassing its WACC. The transaction aligns complementary customer bases—CSG’s in payments, customer experience, telecom/broadband, financial services, healthcare, and logistics with Netcracker’s broader global telecom footprint across Americas, Asia, Europe, Middle East, and Africa—driving software/services growth from North America and Europe-focused digital government/finance businesses.
