Announced on October 29, 2025, the deal values CSG at $80.70 per share in cash, equating to an enterprise value of approximately $2.9 billion (JPY 438.5 billion, including debt), representing a 17.38% premium to CSG’s closing price of $68.75 on October 28, 2025, and a 23.07% premium to its 30-day VWAP. The acquisition, structured as a reverse triangular merger, will make CSG a wholly-owned subsidiary of NEC upon closing, expected within the 2026 calendar year subject to shareholder approval, regulatory clearances, and customary conditions.
