Sanofi agreed to acquire Blueprint Medicines Corporation, a US-based biopharmaceutical company specializing in systemic mastocytosis (SM) and other KIT-driven diseases, in a transaction announced June 2, 2025, and completed July 18, 2025. Under the deal terms, Sanofi paid $129.00 per share in cash, representing an equity value of approximately $9.1 billion, with Blueprint shareholders also receiving contingent value rights (CVRs) entitling them to potential milestone payments of up to $6 per CVR tied to the development and regulatory milestones of BLU-808, bringing the total transaction value to approximately $9.5 billion on a fully diluted basis. The acquisition was completed via merger of a Sanofi subsidiary into Blueprint under Delaware law Section 251(h), with Blueprint becoming a wholly owned indirect subsidiary of Sanofi. Blueprint's primary asset is Ayvakit (avapritinib), the only FDA and EU-approved medicine for advanced and indolent systemic mastocytosis, which generated approximately $150 million in first-quarter 2025 revenue and was on a trajectory toward $1 billion in annual sales. The company's pipeline includes elenestinib, in late-stage development for systemic mastocytosis, alongside other early-stage KIT-driven disease candidates. Sanofi financed the transaction through a combination of cash on hand and commercial paper issuances, with no financing condition attached to the tender offer that expired July 17, 2025.
