BioLife Solutions Acquisition
BioLife Solutions was acquired by Repligen for $1.5B on 21 July 2026.
Repligen agreed to acquire BioLife Solutions in a cash-and-stock transaction valued at approximately USD 1.5 billion, with BioLife stockholders receiving USD 11.25 in cash and 0.1442 shares of Repligen common stock per share, for total consideration of USD 31.00 per BioLife share. The deal structure is described as 64% Repligen common stock and 36% cash, and the consideration implies a 24% premium to BioLife’s 90-day VWAP. BioLife also reported preliminary second-quarter 2026 revenue of USD 28.5 million, up 21% year over year from USD 23.4 million. Repligen said it expects the acquisition to expand its cell-therapy capabilities and biopreservation-media offering, while one report said the company expects at least USD 20 million of first-year cost savings and more than USD 30 million in the second year. BioLife is described as a leading developer and supplier of cell processing tools and services for the cell and gene therapy market, with a recurring-revenue consumables business centered on biopreservation media and other cell-processing tools. Repligen said the acquisition strengthens its position in the fast-growing cell-therapy market and broadens its presence in higher-margin consumables. The transaction was announced on July 21, 2026 and is subject to customary closing conditions; one report said closing is expected in the fourth quarter of 2026.
