QinetiQ US, a subsidiary of QinetiQ Group plc, acquired Avantus Federal LLC from NewSpring Holdings for an enterprise value of $590 million. The deal, announced on August 5, 2022, closed on November 23, 2022, after receiving regulatory approvals. Avantus specializes in strategic planning, operations, stakeholder collaboration, cyber, data, government facility, and outer space solutions for defense, intelligence, homeland security, law enforcement, and civilian agencies. The acquisition combines QinetiQ's expertise in robotics, autonomous systems, sensing, protection systems, and next-generation technology services with Avantus' capabilities to deliver mission-led innovation in hardware, software, and mission services. QinetiQ CEO Steve Wadey described it as a strategic milestone to build scale in the US defense market, extending customer base and capabilities while achieving double-digit growth at attractive margins. The deal includes a $70 million tax benefit and was financed through cash and term loans, with pro forma leverage at 1.1x net debt to EBITDA. Post-acquisition, Avantus contributed approximately $110 million in revenue for FY23 with stable operating profit margins of 10.8%, in line with expectations. The combined QinetiQ US entity nearly doubled in size to under $600 million in pro forma revenue, supporting global leverage including AUKUS partnerships.
