|---|---|---|---|---|
| Mar 2020 | Undisclosed stage | Cowen Healthcare Investments (lead); Ysios Capital; BB Biotech Ventures; Kurma Partners; Gilde Healthcare; Idinvest Partners; Andera Partners; Forbion Capital Partners | $25M | AM-Pharma B.V. is a Dutch biopharmaceutical company focused on developing recombinant alkaline phosphatase (recAP) as a therapeutic treatment for sepsis-associated acute kidney injury. The company completed a robust Phase II clinical trial with 301 patients and was advancing toward Phase III trials at the time of this funding round. In July 2019, AM-Pharma raised €116 million in a Series C round led by a consortium of investors including Andera Partners, Forbion, Ysios Capital, Kurma Partners, IDInvest Partners, BB Pureos Bioventures, and Gilde Healthcare. On March 31, 2020, AM-Pharma secured an additional €47 million ($51.7 million) in a Series F-II extension round, primarily led by Cowen Healthcare Investments, which joined the existing investor syndicate. Additionally, the European Investment Bank (EIB) provided a €24 million ($26.5 million) finance facility. The total funding raised across these closes brought the Series C total to €163 million, enabling the company to complete Marketing Authorization Application preparation activities and proceed with Phase III trial initiation. Cowen Healthcare Investments, founded in 2012 and led by Kevin Raidy, Tim Anderson, and Robert Sine, is a division of Cowen Inc. that focuses on private healthcare companies in biopharma, diagnostics, and digital health sectors, with particular emphasis on Series B and later-stage investments in companies addressing significant unmet medical needs. |
| Jul 2019 | Series F | Andera Partners (lead); EQT (lead); Ysios Capital; Pureos Bioventures; Kurma Partners; Gilde Healthcare; Idinvest Partners; Forbion Capital Partners | $129M | AM-Pharma is a clinical-stage biopharmaceutical company developing recombinant human Alkaline Phosphatase (recAP) as a treatment for acute kidney injury (AKI), particularly sepsis-associated AKI (SA-AKI), a condition affecting millions worldwide with high mortality and no approved pharmacological therapies. In July 2019, the company raised €116 million (approximately $133 million) in a Series F financing round co-led by new investors LSP and Andera Partners, with participation from existing investors including Forbion, Ysios Capital, Kurma Partners, ID Invest Partners, BB Pureos Bioventures, and Gilde Healthcare. The funds were designated for a multinational pivotal Phase III trial involving 1,400 patients with SA-AKI. Later, in 2020, AM-Pharma increased its total funding to €163 million through additional €23 million equity primarily from Cowen Healthcare Investments and a €24 million finance facility from the European Investment Bank, enabling finalization of Marketing Authorization Application preparation activities alongside the Phase III trial. This expanded the investor syndicate while supporting commercial manufacturing and CMC validation post-trial. CEO Erik van den Berg highlighted the support from shareholders and EIB as validation of recAP's potential in addressing the urgent unmet need in SA-AKI. The company focused on advancing recAP toward market approval through clinical and regulatory milestones. |
| May 2015 | Strategic investment | Pfizer (lead) | $88M | Pfizer acquired a minority equity interest in AM-Pharma and secured an exclusive option to buy the remaining equity in the Dutch biopharmaceutical company, in a transaction the two parties announced on 11 May 2015. Pfizer made an upfront payment of US$87.5 million for the minority stake and the option, with additional potential payments of up to US$512.5 million on exercise of the option and on the launch of any resulting product, giving the arrangement a headline value of up to US$600 million. The size of the minority stake and the other terms were not disclosed. The option becomes exercisable on completion of a Phase II trial of recombinant human alkaline phosphatase, or recAP, in acute kidney injury related to sepsis, with results then expected in the second half of 2016. Mikael Dolsten, president of worldwide research and development at Pfizer, said the clinical data on recAP showed potential to address acute kidney injury in sepsis, a condition for which no drugs are approved and where dialysis and supportive care are the only options. AM-Pharma chief executive Erik van den Berg said the agreement provided shareholder value and welcomed Pfizer as a shareholder and partner. Ropes and Gray and De Brauw Blackstone Westbroek advised Pfizer, while Dechert and Clifford Chance advised AM-Pharma. AM-Pharma was founded in 2001, is based in Bunnik in the Netherlands and develops recAP for acute kidney injury, ulcerative colitis and hypophosphatasia. At the time of the transaction it had raised EUR 67 million since inception from a syndicate including Inventages, Forbion Capital Partners, Gilde Healthcare, Ysios Capital, Kurma Biofund, Idinvest Partners, BB Biotech Ventures, AbbVie and Shire, the most recent round having been EUR 12.2 million in September 2014. Pfizer did not ultimately exercise the option and AM-Pharma continued as an independent company. |
