Advanced Disposal Services was a major waste management and environmental services company based in Ponte Vedra Beach, Florida, and the fourth-largest player in the U.S. waste industry at the time of acquisition. The company provided waste collection, transfer, disposal, recycling and resource recovery services to commercial, industrial, residential and municipal customers across the eastern United States. Waste Management, the North America leader in comprehensive waste management services, announced its intent to acquire Advanced Disposal in April 2019 for an initial enterprise value of approximately $4.9 billion ($33.15 per share plus $1.9 billion in net debt). The transaction represented Waste Management's largest acquisition in two decades and presented what the U.S. Department of Justice characterized as "the most significant consolidation in the waste industry in over a decade." The deal was structured to add approximately 3 million new commercial, industrial and residential customers primarily located in 16 states in the eastern United States, significantly expanding Waste Management's geographic footprint and landfill volumes from 26% to 29% of total industry landfill capacity. The acquisition process extended more than 18 months due to extensive DOJ and Federal Trade Commission review. In June 2020, facing regulatory demands and the impact of the COVID-19 pandemic on revenues, the parties amended the deal terms, reducing the purchase price to $4.6 billion ($30.30 per share). This required the divestiture of assets generating $863.5 million in revenue, which were sold to GFL Environmental upon deal closing on October 30, 2020. Waste Management projected more than $100 million in annual synergies from the acquisition.
