Ziply Fiber Acquisition
Ziply Fiber was acquired by BCE for $5.2B on 5 November 2024.
The acquisition price implies a 14.3x EBITDA multiple.
Before the acquisition Ziply Fiber had raised $500M across 2 funding rounds.
BCE Inc., Canada's largest communications company, announced in November 2024 a definitive agreement to acquire Ziply Fiber, the leading fiber internet provider in the Pacific Northwest of the United States, for C$5.0 billion in cash plus the assumption of approximately C$2.0 billion in net debt, for a total enterprise value of C$7.0 billion. The acquisition valued Ziply Fiber at approximately 14.3x its 2025 estimated adjusted EBITDA including run-rate synergies. BCE funded the acquisition through C$4.2 billion in net proceeds from the sale of its minority stake in Maple Leaf Sports & Entertainment, completed in July 2025, with the remainder financed through a discounted treasury DRIP program and a fully committed delayed-draw term loan facility. Ziply Fiber operates as an independent broadband provider serving approximately 1.4 million fiber locations across Washington, Oregon, and Idaho. The acquisition strategically expanded Bell's fiber footprint into the U.S. market and positioned BCE as the third-largest fiber internet provider in North America with a combined 9 million fiber locations, supporting its objective to reach over 12 million fiber locations by end of 2028. The deal closed successfully on August 1, 2025, following regulatory approvals. Upon closing, Ziply Fiber maintained its operating name, independent business unit structure, and headquarters in Kirkland, Washington, with commitments to preserve customer service quality and continue broadband deployment in its service territory for a minimum of one year.

Ziply Fiber Funding History
Ziply Fiber has raised a total of $500M across 2 funding rounds.
Ziply Fiber's first fundraising round was a $450M undisclosed-stage round in September 2022. The most recent completed round was a $50M strategic investment round in November 2022.
Ziply Fiber funding rounds
| Date | Stage | Investors | Raised | Deal Summary |
|---|---|---|---|---|
| Nov 2022 | Strategic investment | Cable One (lead) | $50M | Ziply Fiber, a fiber broadband provider serving the northwestern US (Washington, Oregon, Idaho, Montana), received $50 million from Cable ONE as part of a larger $450 million funding round announced in September 2022, with other investors including WaveDivision Capital and Searchlight Capital Partners. Cable ONE's investment, agreed on September 6, 2022, involved an initial $22.2 million paid in November 2022 and the remaining $27.8 million by September 2023, securing less than a 10% minority equity stake. Ziply focused on fiber internet (up to 1 Gbps symmetrical), voice, and enterprise services, aiming to increase fiber availability from 30% to 85% of passings. The funding supported Ziply's growth strategy, as confirmed by company representatives, amid adding customers and expanding passings. Earlier, in 2020, Ziply raised $2 billion to acquire Frontier Communications' northwest assets for $1.35 billion and invest $500 million in network upgrades, establishing its footprint with nearly 500,000 subscribers at that time. This corporate minority investment highlighted Cable ONE's strategy to partner with fiber operators amid its broader fiber expansion efforts, including the Clearwave Fiber JV. Cable ONE, operating as Sparklight in 21 states, viewed Ziply as a strategic growth partner, aligning with its fiber investments like Clearwave Fiber targeting 500,000 rural locations by 2027. |
| Sep 2022 | Undisclosed stage | WaveDivision Capital; Searchlight Capital Partners; PSP Investments; CPP Investments; BCI | $450M | Ziply Fiber, a Kirkland, Washington-based fiber internet service provider, announced a $450 million funding round in September 2022 to support network expansion across Washington, Oregon, Idaho, and Montana. The company was formed in 2020 following WaveDivision Capital and Searchlight Capital Partners' $1.35 billion acquisition of Frontier Communications' Northwest operations. The funding round included participation from all existing investors: WaveDivision Capital, Searchlight Capital Partners, Public Sector Pension Investment Board (PSP Investments), British Columbia Investment Management Corporation (BCI), and Canada Pension Plan Investment Board (CPP Investments). Cable One also participated with a $50 million investment for less than 10% equity stake. In its first two years of operation by September 2022, Ziply had upgraded its copper network to fiber in more than 80 markets. The company appointed Chris Denzin as Chief Operating Officer and promoted Rob Griffith to Chief of Fiber Design and Construction to oversee the next phase of growth. CEO Harold Zeitz noted that the capital raised would enable the company to expand its service footprint and edge-out strategy to reach more customers. The funding followed a $350 million debt raise from October 2021 dedicated to network expansion in the same four-state region. |
