KONE Corporation acquired TK Elevator in a cash and share transaction announced on April 29, 2026, with an enterprise value of €29.4 billion. The deal structure included €5 billion in cash upon closing and 270 million new KONE shares valued at approximately €15.2 billion, with KONE assuming TK Elevator's interest-bearing net debt of €9.2 billion to be refinanced. The combined entity creates the world's largest elevator and escalator company with approximately €20.5 billion in annual combined sales, of which 65% derives from service and modernization operations. The combined group generated adjusted EBIT of more than €2.7 billion excluding synergies and maintains approximately 3.2 million units under maintenance. The transaction is expected to generate approximately €700 million in annual run-rate cost synergies, with one-off integration costs estimated at 1-1.2 times the expected run-rate synergies over a two-year period. The acquisition was led by KONE in combination with a consortium led by Advent and Cinven.
