Santander Consumer USA Overview
About Santander Consumer USA
Santander Consumer USA is a United States consumer-finance business headquartered in Dallas, Texas. The company focuses on vehicle financing and also provides unsecured consumer lending products. Its activities include originating and purchasing retail instalment contracts, providing vehicle leases and dealer loans, and servicing finance receivables. The business earns finance charges and servicing fees through relationships with automotive dealers and other commercial distribution partners. Founded in 1995, it developed a substantial nonprime vehicle-finance operation and later expanded its prime lending activities. A 2013 agreement with Chrysler supported the launch of private-label loans and leases under the Chrysler Capital brand. The company also financed motorcycles, recreational vehicles and marine products and maintained consumer-lending partnerships. KKR, Warburg Pincus and Centerbridge invested in 2011, while Santander retained the majority interest. The Delaware holding company succeeded the existing operating-company ownership structure before the 2014 public offering, preserving the underlying consumer-finance business.

Santander Consumer USA Funding History
Santander Consumer USA has raised 1 funding round, plus 2 secondary share sales.
| Date | Stage | Investors | Valuation | Deal Summary |
|---|---|---|---|---|
| Sep 2014 | Secondary | - | - | KKR and Warburg Pincus sold their remaining Santander Consumer USA interests through a registered secondary block offering priced on September 2, 2014 and closed on September 8. Transaction counsel reports an aggregate 10,047,954 shares sold for approximately US$187.4 million, with no shares sold by the company and no proceeds received by it. KKR’s ownership filing separately reports disposal of 5,023,976.52 shares at US$18.65 per share and zero shares remaining after the sale. The aggregate proceeds relate to the combined offering, not exclusively to KKR. J.P. Morgan Securities acted as underwriter, but the ultimate public investors are not individually identified and are not replaced with a fabricated buyer. This movement completed KKR’s exit after the earlier January public share sale. |
| Jan 2014 | Secondary | - | - | Existing shareholders of Santander Consumer USA completed a public secondary sale on January 28, 2014 in connection with the company’s initial public offering. Santander Holdings USA’s quarterly report states that 85,242,042 shares were sold by shareholders including Santander and Sponsor Auto Finance Holdings, the vehicle associated with KKR, Warburg Pincus and Centerbridge. The issuer did not sell new shares or receive proceeds from the sale. The aggregate share count is not presented as KKR’s individual disposal, and proceeds are not attributed entirely to one sponsor. The sale reduced the sponsor vehicle’s ownership and associated governance rights, while KKR retained a position that was sold later in 2014. |
| Oct 2011 | Strategic investment | KKR; Centerbridge Partners; Warburg Pincus; Tom Dundon | $4B | Santander Consumer USA agreed on October 20, 2011 to issue shares to an investor vehicle jointly owned by funds affiliated with KKR, Warburg Pincus and Centerbridge Partners. The institutional sponsors subscribed US$1 billion for approximately 25% of the company. A concurrent agreement provided for an additional subscription by Thomas Dundon through DDFS, raising his ownership to approximately 10%. The issuer’s prospectus confirms completion on December 31, 2011 and reports US$158.2 million of additional consideration from DDFS, rather than the preliminary estimate of approximately US$150 million. Santander Holdings USA retained approximately 65% following the transactions. A small management share purchase financed by notes was also disclosed but is not added to the stated cash subscription total. This was primary equity funding of the consumer-finance operating business, not a purchase of Santander’s entire United States banking group. |
