NaviHealth Acquisition

NaviHealth was acquired by Optum for $2.5B on 21 May 2020.

The acquisition price implies a 18.0x EBITDA multiple.

Before the acquisition NaviHealth had raised $4M across 1 funding round.

NaviHealth is a Brentwood, Tennessee-based post-acute care management platform founded in 2012 that provides clinical decision-making tools and data analytics for health plans, hospital systems, risk-bearing physician groups, and other healthcare providers. The company serves approximately 4.5 million Medicare Advantage members and works with over 140 hospitals in the Centers for Medicare and Medicaid Services' Bundled Payments for Care Improvement Advanced program. OptumHealth, a division of UnitedHealth Group, acquired NaviHealth in May 2020 for $2.5 billion in enterprise value, representing a significant consolidation in the value-based care management space. The acquisition was preceded by earlier ownership changes: Cardinal Health purchased a majority stake (71%) in 2015 for $290 million, then sold a 55% stake to private equity firm Clayton, Dubilier & Rice in June 2018 for approximately $650 million. Optum's acquisition of NaviHealth allowed the company to integrate NaviHealth's post-acute clinical model and data-driven insights with Optum's community-based healthcare capabilities to enhance personalized, value-based care coordination for patients with complex health conditions. NaviHealth has continued to operate as a standalone entity under OptumHealth following the acquisition, with founder and CEO Clay Richards remaining in leadership, though the NaviHealth brand was eventually discontinued by UnitedHealth around 2023 as services were consolidated under Optum's rebranded structure.
