Big River Steel is an electric arc furnace-oriented flat-rolled steel mill located in Northeast Arkansas that produces high-performance, advanced high-strength steels for automotive, energy, construction, and agricultural customers. The mill's Phase II-A expansion, completed in November 2020, doubled hot-rolled steel production capacity to 3.3 million tons annually, establishing it as one of North America's largest EAF-oriented flat-rolled mills. U.S. Steel first acquired a 49.9% ownership stake in Big River Steel in November 2019 for $700 million and simultaneously negotiated a four-year call option on the remaining equity. In December 2020, U.S. Steel exercised this call option to acquire the remaining 50.1% equity stake for approximately $774 million in cash, completing full ownership. The transaction closed in January 2021. U.S. Steel characterized the combination as creating the first "Best of Both" integrated and mini-mill steel company, combining Big River's low-greenhouse-gas mini mill technology with U.S. Steel's integrated steelmaking capabilities, customer base, and advanced high-strength steel intellectual property. The acquisition was expected to strengthen U.S. Steel's order book, expand its product range including advanced high-strength steel grades, and support operational efficiency improvements across the combined entity.
