NortonLifeLock, a U.S. cybersecurity firm, agreed to acquire Avast, a British rival based in Prague with U.S. headquarters in Redwood City, California, in a deal announced in August 2021 following talks confirmed in July 2021. The transaction values Avast at between $8.1 billion and $9.2 billion enterprise value, depending on shareholder elections for cash and stock consideration, creating a consumer cyber safety powerhouse with over 500 million users from Avast's 435 million customer base and NortonLifeLock's direct customers. Avast offers home and business cybersecurity technology, including endpoint and cloud-based network security services. The deal structure provides Avast shareholders options: a majority cash mix of $7.61 cash plus 0.0302 NortonLifeLock shares or a majority stock mix of $2.37 cash plus 0.1937 shares, with default to majority cash. It promises $280 million in annual gross cost synergies, combined pre-synergy revenue of about $3.5 billion, 52% branded operating margin, and $1.5 billion in annual free cash flow. Post-merger leadership includes NortonLifeLock CEO Vincent Pilette continuing as CEO, Avast CEO Ondrej Vlcek as president and board member, with dual headquarters in Tempe, Arizona, and Prague. The merger faced regulatory scrutiny, receiving provisional approval by July 2022, and ranks as one of the largest cybersecurity acquisitions.
