BioCryst Pharmaceuticals completed its acquisition of Astria Therapeutics in January 2026 for approximately $700 million in enterprise value, initially announced in October 2025. Astria is a biopharmaceutical company developing navenibart (STAR-0215), a late-stage monoclonal antibody inhibitor of plasma kallikrein for hereditary angioedema (HAE), a rare disorder causing potentially life-threatening tissue swelling episodes. The deal values Astria at $13 per share in an all-cash and stock transaction, representing a 53% premium over Astria's closing price on October 13, 2025, with Astria stockholders receiving $8.55 in cash and 0.59 BioCryst shares per Astria share and owning approximately 15% of the combined entity. The acquisition strengthens BioCryst's leadership in HAE and provides a complementary late-stage product candidate to its marketed drug Orladeyo, which generated $437.6 million in 2024 sales with BioCryst projecting the HAE portfolio to reach $1 billion in revenue by 2029 and $1.8 billion by 2033. NaveniBart offers infrequent, pain-free dosing and a known mechanism of action compared to existing HAE treatments, positioning it as a potential injectable of choice for patients. BioCryst financed the cash portion through $396.6 million drawn from a $550 million strategic financing facility managed by Blackstone and used available cash, while issuing approximately 37.3 million shares to Astria equity holders. The transaction also includes Astria's early-stage atopic dermatitis program STAR-0310, for which BioCryst plans to pursue strategic alternatives as it does not align with the company's rare disease focus. Astria CEO Jill Milne joined the BioCryst board of directors upon closing.
