Roche acquired 89bio, a San Francisco-based biopharmaceutical company, for approximately $2.4 billion at closing with up to $3.5 billion in total deal value including contingent value rights. The cornerstone of the acquisition is pegozafermin, an FGF21 analog in Phase 3 development for metabolic dysfunction-associated steatohepatitis (MASH), a progressive liver disease and one of the most prevalent comorbidities of obesity. Roche will pay $14.50 per share in cash at closing, representing a 52% premium to 89bio's 60-day volume-weighted average price, plus non-tradeable contingent value rights of up to $6.00 per share tied to commercial milestones such as the first sale of pegozafermin in F4 MASH cirrhotic patients before March 31, 2030. The deal was announced on September 18, 2025, and closed in October 2025 through a tender offer followed by a second-step merger. Akero Therapeutics' Phase IIb success with efruxifermin for MASH accelerated Roche's acquisition interest, spurring the company to move from initial licensing discussions in March 2025 to a full buyout offer of $13 per share in July, which 89bio's board subsequently negotiated upward. 89bio's board unanimously approved the transaction, and all of 89bio's employees joined Roche's Pharmaceuticals Division upon deal completion.
