Tochka Acquisition

Tochka was acquired by Interros for $505M on 10 July 2023.

The acquisition price implies a 2.4x revenue multiple on $215M of revenue.

Before the acquisition Tochka had raised $127M across 1 funding round.

On 10 July 2023 Bank Trust, Russia's state-run bad-asset bank, sold its 90.01% stake in Tochka, a digital bank for small businesses and sole traders, at auction for RUB 41.5 billion against a starting price of RUB 22.7 billion. The buyer was a consortium that included Vladimir Potanin's Interros and Tochka's own management, acting through the Cypriot vehicle Catalytic People, which already held the remaining 9.99% and exercised its pre-emptive right to match the auction price. No single investor took control of the bank and the founding management team stayed in charge. Tochka was launched in 2015, previously belonged to the Otkritie group and earned a net profit of RUB 6.2 billion in 2022. The transaction closed in late August 2023.

The bank offers a range of services that support small and medium-sized enterprises across various operational and financial needs. In Q4 2023, VK (formerly Mail.ru Group) acquired a 25% stake in Tochka JSC for 11.625 billion rubles, implying a full company valuation of 46.5 billion rubles. This investment was announced publicly in March 2024 alongside VK's 2023 financial statements. The same transaction also saw 1C Company join as an investor alongside VK, creating a consortium structure where neither investor held a controlling stake and operational control remained with the company's management team. The broader context for this transaction relates to earlier ownership changes. A consortium led by Vladimir Potanin's Interros had acquired 90% of Tochka in July 2023 through an auction organized by Trust Bank for 41.5 billion rubles, with plans to consolidate 100% ownership. The VK and 1C investments in Q4 2023 were part of completing this ownership restructuring. Prior to the major 2023 transactions, the consortium had controlled 9.99% of Tochka shares through Catalytic People.
