Suez Acquisition

Suez was acquired by Veolia for $26B on 15 May 2021.

Veolia Environnement S.A. launched a public takeover bid for Suez S.A. in 2020, starting with the acquisition of a 29.9% stake from Engie for €3.4 billion at €18 per share in October 2020. The full acquisition of the remaining 70.1% stake was completed in January 2022 at an increased offer of €20.5 per share, totaling about €9.4 billion in equity value plus Suez's €12.1 billion net debt for an enterprise value of €24.8 billion, supported by a €2.5 billion capital increase announced in September 2021. Suez is a global provider of waste management, water management, water equipment, and water technology services, generating around €17.2 billion in global revenues in 2020, with roughly €1 billion from the UK. The deal faced significant regulatory scrutiny, including from the UK CMA and European Commission, leading to divestitures such as Suez's UK waste business to Macquarie for €2.4 billion and hazardous waste assets in France to a new Suez entity backed by Meridiam and GIP for €690 million enterprise value. The transaction created a combined entity positioned to address post-COVID earnings challenges, with Suez reporting a 6% revenue loss due to volume declines in water and waste, and planned €4 billion divestments for cost-cutting. Veolia financed the deal through cash, credit lines, capital raise, and asset sales to manage leverage.

The price was a 75% premium to Suez's unaffected share price of July 30, 2020, before Veolia disclosed its approach, and valued Suez's equity at roughly €11.4 billion. Engie's board accepted Veolia's improved offer after rejecting an initial €15.50 bid in August and booked a pre-tax capital gain of about €1.8 billion on the sale; the French state, Engie's largest shareholder, abstained from the board vote. Veolia confirmed at the same time its intention to file a public tender offer for the remaining 70.1% of Suez at the same price once antitrust clearance was obtained, and committed to keep all Suez jobs and social benefits in France and to sell Suez Eau France to the infrastructure investor Meridiam to preserve competition. Suez's board opposed the transaction and had placed its French water business in a Dutch foundation to frustrate a takeover; the dispute was settled in April 2021 with an agreed offer at €20.50 per share. Suez, headquartered in Paris and founded in its modern form in 2008 through the merger of Suez Environnement and Agbar, provides water and waste management services in about 70 countries, with 2020 revenue of €17.2 billion and around 86,000 employees.
