Soliton, a Houston-based medical device company, developed the RESONIC rapid acoustic pulse (RAP) device, which received FDA 510(k) clearance for non-invasive short-term improvement in cellulite appearance and for use with lasers in tattoo removal. Allergan Aesthetics, an AbbVie subsidiary, agreed to acquire Soliton on May 10, 2021, for $22.60 per share in cash, equating to an enterprise value of approximately $550 million, to expand its body contouring portfolio including CoolSculpting Elite. The deal was approved by both companies' boards and aimed to leverage Allergan Aesthetics' global footprint and brand to commercialize RESONIC, addressing unmet needs in cellulite treatment with no patient downtime. The transaction was subject to shareholder approval, Hart-Scott-Rodino antitrust clearance, and customary closing conditions; FTC scrutiny extended the timeline but the acquisition proceeded. Soliton believed RAP technology could disrupt tattoo removal markets and generate significant recurring revenue from cellulite treatments, with FDA clearances obtained in 2019 and early 2021.
