The transaction is structured as an all-stock and cash deal, backed by a $550 million financing commitment, and is intended to be tax-free for U.S. federal income tax purposes, with closure expected in H2 2026. The deal values RE/MAX at approximately 7x 2025 EBITDA. The acquisition combines Real's AI-powered brokerage platform with RE/MAX's global franchise network, creating a tech-enabled global real estate platform. It is expected to be accretive to earnings and Adjusted EBITDA margin in the first full year post-close, excluding integration costs, with pro forma combined 2025 financials of $2.3 billion revenue and $157 million Adjusted EBITDA before synergies.
