Nov 2025SecondaryAres Management (lead)$358M$5.4BAres Management agreed to acquire a 6.6% interest in Mountain Valley Pipeline LLC from Consolidated Edison for $357.5 million in a transaction announced November 24, 2025. The stake includes interests in both the original Mountain Valley Pipeline and the Mountain Valley Pipeline Mainline Expansion, a 303-mile interstate natural gas pipeline system extending from northwestern West Virginia to southern Virginia. The base purchase price is subject to adjustments for accrued taxes, performance assurances, distributions received prior to closing, and any capital contributions made between signing and closing. The transaction is expected to close in the first half of 2026, pending customary closing conditions and potential exercise of preferential rights by the founding members of Mountain Valley Pipeline LLC. Consolidated Edison plans to use proceeds from the sale to partially offset its common equity needs for 2026 and general corporate purposes, as part of its strategy to divest non-core assets.
Oct 2016Strategic investmentWGL Holdings-$333MWGL Holdings, through WGL Midstream, acquired an additional 3% equity interest in Mountain Valley Pipeline, LLC on 24 October 2016 by assuming the whole interest of Vega Midstream MVP LLC, a Vega Energy vehicle, in the joint venture for USD 10.0 million. The purchase ended WGL's obligation to fund capital contributions on behalf of Vega Energy and took WGL Midstream's holding in the venture to 10%, after it had first acquired a 7% interest in March 2015. Mountain Valley is the joint venture developing a natural gas pipeline from the Marcellus and Utica region of West Virginia toward markets in Virginia and the south-east, designed to carry about 2.0 million dekatherms of natural gas per day. WGL Midstream also contracted to buy 500,000 dekatherms a day on the line for 20 years. WGL Holdings was at the time a listed gas utility holding company based in Washington, D.C.

Mountain Valley is the joint venture formed to develop, build, own and operate a natural gas pipeline carrying gas from the Marcellus and Utica region of West Virginia toward markets in Virginia and the south-east. WGL Midstream agreed to fund its share of project costs through scheduled capital contributions until the pipeline entered service, and it later raised its interest to 10% by buying out another partner in October 2016. WGL Holdings was then a listed utility holding company based in Washington, D.C., and the investment extended its midstream segment alongside its regulated gas utility Washington Gas.
