Ipsen agreed to acquire all shares of Memo Therapeutics AG, a Swiss clinical-stage biotech, under a definitive share purchase agreement announced on July 1, 2026. Memo Therapeutics shareholders received EUR 200 million upfront, with additional development, regulatory and sales milestones that could bring total consideration to more than EUR 700 million. The acquisition adds potravitug, a first-in-class Phase II monoclonal antibody targeting BK polyomavirus (BKPyV) reactivation in kidney transplant recipients, to Ipsen's rare disease pipeline; potravitug has FDA Fast Track and EU Orphan Drug designations. The deal closed on July 22, 2026. Assets and staff not related to potravitug were transferred out of Memo Therapeutics into a separate newly formed company retained by Memo's existing shareholders before closing.
