Memo Therapeutics Acquisition
Memo Therapeutics was acquired by Ipsen for $799M on 30 June 2026.
Before the acquisition Memo Therapeutics had raised $98M across 6 funding rounds.
Ipsen agreed to acquire all shares of Memo Therapeutics AG, a Swiss clinical-stage biotech, under a definitive share purchase agreement announced on July 1, 2026. Memo Therapeutics shareholders received EUR 200 million upfront, with additional development, regulatory and sales milestones that could bring total consideration to more than EUR 700 million. The acquisition adds potravitug, a first-in-class Phase II monoclonal antibody targeting BK polyomavirus (BKPyV) reactivation in kidney transplant recipients, to Ipsen's rare disease pipeline; potravitug has FDA Fast Track and EU Orphan Drug designations. The deal closed on July 22, 2026. Assets and staff not related to potravitug were transferred out of Memo Therapeutics into a separate newly formed company retained by Memo's existing shareholders before closing.

Memo Therapeutics funding rounds
| Date | Stage | Investors | Raised | Deal Summary |
|---|---|---|---|---|
| May 2024 | Series C | Schroders Capital (lead); redalpine; Adjuvant Capital; Ysios Capital; Pureos Bioventures; Kurma Partners; GF Group Holding; Verve Ventures; Vesalius Biocapital Partners; Fresenius Medical Care; Swisscanto Private Equity | $22M | Memo Therapeutics AG is a late-stage Swiss biotech company developing best-in-class therapeutic antibodies, with its lead asset AntiBKV, a monoclonal antibody neutralizing BK polyomavirus (BKV) infection in kidney transplant patients. BKV infection affects up to 20,000 of the over 100,000 annual kidney transplants worldwide, leading to nephropathy with no current disease-modifying therapies available. AntiBKV has received FDA Fast Track designation and is in Phase II trials, with data anticipated in 2024 and potential market entry in 2025 targeting a market over USD 1 billion. The Series C financing, extended on May 7, 2024, totaled CHF 45 million: an initial CHF 25 million tranche announced in November 2023 led by Pureos Bioventures with participation from Swisscanto Private Equity, Vesalius Biocapital Partners, Adjuvant Capital, Verve Ventures, Schroders Capital, GF Group Holding, Fresenius Medical Care Ventures, and redalpine; followed by an additional CHF 20 million extension from new investors Ysios Capital and Kurma Partners plus existing investors. Proceeds fund expansion of the Phase II AntiBKV trial into the largest study for BKV infection in kidney transplantation, including dose evaluation, completion of multi-center study, scale-up of CMC manufacturing for Phase III and potential launch, and advancement of the broader antibody pipeline targeting infectious diseases like cytomegalovirus, immuno-oncology, and a partnership with Ono Pharmaceutical. Memo Therapeutics, an ETH Zurich spinoff, has raised over $120M across multiple rounds since Series A in 2015 and was recognized in Swiss startup rankings. |
| Nov 2023 | Series C | Pureos Bioventures (lead); Schroders Capital (lead); redalpine; Adjuvant Capital; GF Group Holding; Verve Ventures; Vesalius Biocapital Partners; Fresenius Medical Care; Swisscanto Private Equity | $28M | Memo Therapeutics AG (MTx), a Zurich-based late-stage biotech spin-off from ETH Zurich, develops best-in-class therapeutic antibodies using its proprietary antibody discovery platform, focusing on infectious diseases and immuno-oncology. Its lead candidate, AntiBKV, is a first-in-class antibody designed to neutralize BK polyomavirus (BKV) infections in kidney transplant recipients, addressing a condition with serious impacts on graft function and patient survival; it received FDA Fast Track designation. The company announced the closing of an initial CHF 25 million (approximately €26 million) Series C financing round on November 2, 2023, led by Pureos Bioventures, with participation from existing investors including Adjuvant Capital, Fresenius Medical Care Ventures, GF Group Holding, redalpine, Schroders Capital, Swisscanto Private Equity, Verve Ventures, and Vesalius Biocapital Partners. Funds are allocated to complete the ongoing multi-center Phase II clinical trial of AntiBKV in the US, with data expected in 2024, scale up CMC manufacturing for Phase III and potential 2025 market entry, and advance its broader antibody pipeline including candidates for cytomegalovirus and immuno-oncology targets. Prior to this round, Memo Therapeutics had raised a total of approximately $59.2 million across five earlier rounds since its Series A of CHF 2.3 million in 2015. The company has strategic partnerships, such as with Japan's Ono Pharmaceutical, to further develop its pipeline. Phase II results were anticipated to support progression to Phase III, positioning MTx to address unmet needs in renal transplant patient care where no approved therapies exist for BKV infections. |
| Feb 2022 | Series B | Swisscanto Private Equity (lead); Adjuvant Capital; Zürcher Kantonal Bank; GF Group Holding; Verve Ventures; Kinled Holding; Vesalius Biocapital Partners; Fresenius Medical Care | $25M | Memo Therapeutics AG, based in Schlieren, Switzerland, is an innovator in antibody discovery and development leveraging microfluidic single-cell molecular cloning and screening technologies. The company develops antibodies for proprietary and partnered projects across infectious diseases and immuno-oncology indications. In February 2022, Memo Therapeutics closed an oversubscribed Series B financing round totaling CHF60 million (CHF37 million led by Swisscanto Invest, followed by a CHF23 million extension). The round was backed by strategic and financial investors including Adjuvant Capital, Fresenius Medical Care Ventures, GF Group, Verve Ventures, Vesalius Biocapital, and Zürcher Kantonalbank. The proceeds were designated to advance an antibody against BK virus through Phase 2 clinical development. Separately, Memo Therapeutics had recently secured a CHF10.5 million commitment from the Swiss Federal Funding Programme for COVID-19 Medicines to advance COVAB 36, a fully human monoclonal antibody for inhalation treatment of SARS-CoV-2 infections, into clinical development. The company subsequently raised additional capital through a Series C round in November 2023 and a Series C-II round of $22.05 million in May 2024, with total funding reaching $120.33 million across nine rounds as of mid-2024. |

| May 2018 | Series A | redalpine (lead); Schroder Adveq; Zürcher Kantonal Bank; Verve Ventures | $5M | Memo Therapeutics is a Swiss biotech company and ETH Zurich spin-off specializing in antibody discovery and immune repertoire analysis using its Dropzylla platform and MemoMAB technology to identify therapeutic antibodies from disease survivors for infectious diseases and other targets. In a Series A2 round around 2018-2019, it secured CHF 5 million from investors including Redalpine, Investiere, Schroder Adveq, and Zürcher Kantonal Bank to advance its antibody technology into preclinical and clinical testing. Verve Ventures backed the company since 2018. The platform enables rapid identification of potent antibodies, as demonstrated in later applications like COVID-19 candidates. |
