Lotus Midstream Acquisition
Lotus Midstream was acquired by Energy Transfer for $1.4B on 27 March 2023.
Before the acquisition Lotus Midstream had raised $400M across 1 funding round.
Lotus Midstream, based in Sugar Land, Texas, owns and operates the Centurion Pipeline Company LLC, an integrated crude oil midstream platform in the Permian Basin with approximately 3,000 miles of gathering and transportation pipelines extending from southeast New Mexico across West Texas to Cushing, Oklahoma. The system includes the Midland Terminal with 2 million barrels of crude oil storage capacity and connectivity to major hubs like Cushing, Midland, Colorado City, Wink, and Crane. It is anchored by long-term contracts with large-cap producers and significant acreage dedications, plus a 5 percent equity interest in the Wink to Webster Pipeline transporting over one million barrels per day to the Gulf Coast. Energy Transfer LP agreed to acquire Lotus Midstream from an affiliate of EnCap Flatrock Midstream in a $1.45 billion transaction announced in March 2023, consisting of $900 million in cash and 44.5 million newly issued common units. The deal expands Energy Transfer's Permian Basin footprint, enhances crude oil transportation and storage connectivity to downstream markets, and provides immediate free cash flow accretion. Closing was expected in Q2 2023 subject to regulatory approvals, with plans to construct a 30-mile pipeline from Midland terminals to Cushing by Q1 2024.

| Feb 2018 | Undisclosed stage | EnCap Flatrock Midstream (lead) | $400M | Lotus Midstream, a crude oil logistics provider focused on midstream infrastructure in the Permian Basin and Midcontinent, secured an initial capital commitment of $400 million from EnCap Flatrock Midstream on February 13, 2018. The funding supported organic development of gathering, transportation, and storage services, as well as strategic acquisitions. CEO Mike Prince highlighted the firm's established track record and relationships in high-growth areas, with EnCap Flatrock positioned as a strategic investor from its $3.25 billion EFM Fund IV. In September 2018, Lotus acquired the Centurion Pipeline and Southeast New Mexico crude gathering systems, transforming them into an integrated network connecting wellheads to markets like Cushing, Nederland, Houston, and Corpus Christi. The company also participated in the Wink-to-Webster Pipeline, a 1,046km asset carrying over one million barrels per day from the Permian to the Gulf Coast. Lotus's Midland Terminal offered two million barrels of crude oil storage with supply and demand connectivity. In 2023, EnCap Flatrock sold Lotus Midstream to Energy Transfer for approximately $1.45 billion in a cash-and-stock deal ($900 million cash plus 44.5 million shares), enhancing Energy Transfer's Permian presence and enabling new pipeline projects to Cushing. |
