Insignia Financial Acquisition

Insignia Financial was acquired by One Investment Management, Carlyle Group and CC Capital for $2.5B on 22 July 2025.

Insignia Financial, the renamed IOOF Holdings, entered into a scheme implementation deed with Daintree BidCo, a vehicle established by CC Capital and backed by OneIM and Carlyle, under which the consortium agreed to acquire all of the company's shares for A$4.80 each in cash. The offer valued Insignia at an enterprise value of about A$3.9 billion and represented a 56.9 per cent premium to the undisturbed share price of A$3.06 before takeover interest emerged in December 2024. CC Capital holds 50.6 per cent of the bid vehicle, OneIM 44.2 per cent and Carlyle 5.2 per cent; shareholders approved the scheme with 98.65 per cent in favour on 13 April 2026 and the transaction completed on 28 April 2026, with Insignia delisted from the ASX the following day.
