Innovium Acquisition
Innovium was acquired by Marvell Technology for $1.1B on 3 August 2021.
The acquisition price implies a 7.3x revenue multiple on $150M of revenue.
Before the acquisition Innovium had raised $402M across 10 funding rounds.
Innovium, Inc. was a leading provider of cloud-optimized networking solutions and switching silicon for data centers, founded in 2014. The company had raised over $400 million from venture investors including Greylock, Qualcomm Ventures, and BlackRock, with a prior post-money valuation of $1.3 billion. Marvell Technology, a leading infrastructure semiconductor solutions provider, acquired Innovium in an all-stock transaction valued at $1.1 billion based on Marvell's 10-day volume-weighted average price as of July 30, 2021. The acquisition was announced on August 3, 2021, and closed on October 5, 2021. Marvell shareholders approved the transaction to complement its existing Ethernet switching portfolio and expand its cloud data center capabilities following its $10 billion acquisition of Inphi in April 2021. Innovium's Teralynx switch portfolio, capable of 25.6 Tb/s switching throughput and deployed by major vendors including Cisco, was a strategic asset for Marvell to compete with Broadcom in the merchant switch silicon market. Marvell expected Innovium to contribute approximately $150 million in incremental revenue in fiscal 2023. The net cost to Marvell after accounting for Innovium's cash and expected exercise proceeds of approximately $145 million was $955 million. Innovium founder and CEO Rajiv Khemani transitioned to an advisory role post-close, while CTO Puneet Agarwal joined Marvell, facilitating integration of the company's technical capabilities.
