This transaction gave Fujifilm 100% ownership of Fuji Xerox, ending a 57-year joint venture between the two companies. The deal also included Xerox selling its 51% stake in Xerox International Partners (a smaller OEM joint venture) to a Fuji Xerox affiliate, along with new product supply arrangements and extended sourcing terms for future product programs to ensure Xerox's supply continuity. The transaction effectively resolved the contentious relationship between Fujifilm and Xerox following the failed $6.1 billion merger attempt in January 2018, in which Fujifilm sought to acquire a controlling stake in Xerox. As part of the November 2019 settlement, Fujifilm dismissed the $1 billion lawsuit it had filed against Xerox in June 2018 for abandoning that merger agreement. Xerox used the $2.3 billion in after-tax proceeds (including accrued dividends through closing) to pursue accretive M&A opportunities, return capital to shareholders, and pay down debt obligations.
