In May 2019, Bain Capital agreed to acquire a 27% stake in CJ Foods America for $320 million, announced on May 23 and closed around June 12, to support CJ CheilJedang's $1.84 billion purchase of Schwan’s, reducing financial burden and enhancing competitiveness in the global frozen food market. This valued the company at approximately $1.185 billion post-investment. CJ CheilJedang had previously acquired a controlling 70% stake in Schwan’s in early 2019 for about $1.7-1.84 billion, expanding its U.S. manufacturing from five plants to 22 facilities and gaining strong distribution networks for brands like Red Baron pizza. The Bain deal positioned Bain as a financial investor in the Schwan’s transaction, with CJ retaining majority control. CJ Foods America managed bibigo dumplings, ready meals, and noodles, building on prior U.S. entries like Annie Chun's and Kahiki Foods. In June 2021, CJ CheilJedang repurchased Bain Capital's full 27.14% stake for $438 million, yielding Bain significant gains and allowing CJ to consolidate ownership. By 2023, CJ increased its stake to 75.5%, with plans to acquire remaining shares.
