American Bath Group is a leading North American manufacturer of showers, bathtubs, integrated tub/showers, shower bases, jetted whirlpools, spas, and related accessories sold through a portfolio of well-recognized brands to professional installers and consumers. In October 2020, Centerbridge Partners, a private investment firm with approximately $28 billion in capital under management, announced a definitive agreement to acquire American Bath Group from Lone Star Funds, a private equity firm that had owned the company for four years. The transaction valued the company at $1.85 billion and was structured with $1.3 billion in senior secured credit facilities, $335 million in unsecured notes, and $617 million in equity contribution from Centerbridge, with American Bath Group's management team retaining a significant ownership interest in the business. The acquisition closed in the fourth quarter of 2020 and was financed by a consortium of major banks including Credit Suisse, RBC Capital Markets, Bank of America, BMO Capital Markets, Truist Securities, Barclays, and UBS Investment Bank, with pro forma net secured leverage of 4.6x and total net leverage of 5.9x.
