Alteryx Acquisition

Alteryx was acquired by Clearlake Capital for $4.4B on 18 December 2023.

The acquisition price implies a 4.8x revenue multiple on $914M of revenue.

Before the acquisition Alteryx had raised $163M across 3 funding rounds.

Alteryx, Inc., an Irvine, California-based analytics cloud platform company (NYSE: AYX), develops data science and analytics products, powering enterprise decisions through automated, AI-driven insights and enabling customers to transform data into breakthroughs. Clearlake Capital Group, L.P., a Santa Monica-headquartered private equity firm with over $75 billion in assets under management focusing on technology, industrials, and consumer sectors, partnered with Insight Partners, another global private equity firm, to acquire Alteryx. The strategic rationale centers on providing Alteryx with increased working capital, industry expertise, and private company flexibility to accelerate investments in AI and cloud analytics innovation, enhancing go-to-market capabilities and product roadmap amid competitive dynamics where Clearlake and Insight outbid Symphony Technology Group. The deal, announced on December 18, 2023, is valued at $4.4 billion including debt, with equity at approximately $3.46 billion, offering a 29.1% premium over Alteryx’s prior closing share price; stockholders received $48.25 in cash per share of Class A or Class B common stock. Approved by an independent special committee, the full board, and stockholders on March 13, 2024, with support from CEO Dean Stoecker holding 49% voting power, the transaction closed on March 19, 2024, without financing or majority-of-the-minority conditions, pending only customary approvals including regulatory. Alteryx delisted from the NYSE, becoming a privately held portfolio company of Clearlake and Insight, with no immediate disclosed impact on its approximately 2,900 employees.

The platform democratizes analytics capabilities, allowing users who primarily work with Excel to perform advanced statistical and predictive analytics, data preparation, and blending tasks. The company also offers a marketplace (gallery.alteryx.com) for sharing and selling analytics applications built on the platform. In October 2015, Alteryx announced an $85 million Series C funding round co-led by Iconiq Capital and Insight Venture Partners, with participation from Meritech Capital Partners. This round brought total funding to $163 million and valued the company at approximately $1 billion, making Alteryx a prospect to join the Billion Dollar Unicorn club. The company planned to use the capital for accelerated product development, international expansion, research and development, and expansion of sales, marketing, and channel partner relationships. At the time of the funding, Alteryx had demonstrated strong traction with over 1,000 customers across all major industry groups, ranging from Global 2000 enterprises to SMBs on all continents. The company was adding approximately 200 new customers per quarter and had successfully expanded into Europe and Australia earlier in 2015, with 20 employees in Western Europe and 40 channel partners. Notable customers included Verizon, Boston Consulting Group, Ingersoll Rand, and others highlighted at the company's Inspire user conference. Alteryx had been growing rapidly, with over 200 percent growth in its customer base in the year leading up to the October 2014 Series B round ($60 million led by Insight Venture Partners). The company was backed by SAP Ventures (later rebranded as Sapphire Ventures), which had participated in earlier funding rounds beginning with a $6 million seed investment in 2011. By 2015, the company was positioned in Gartner's Magic Quadrant for Business Intelligence and Analytics Platforms in the Visionaries quadrant and had strategic partnerships with Tableau, Qlik, and Cloudera to support innovation and growth.
Oct 2014Series BInsight Partners (lead); Sapphire Ventures; Toba Capital$60M-Alteryx, Inc., a leader in data blending and advanced analytics, secured a $60 million investment on October 6, 2014, led by Insight Venture Partners with participation from existing investors SAP Ventures and Toba Capital. The funding responded to explosive growth, including over 200 percent increase in its customer base in the prior year. Proceeds were earmarked to expand go-to-market capacity, broaden the partner channel, and deliver product innovations for line-of-business data analysts in marketing, sales, customer service, and finance. Insight Venture Partners' managing partner Jeff Horing praised Alteryx as a category leader among top-decile SaaS companies for growth and core metrics, joining the board to support scaling. CEO Dean Stoecker highlighted the validation of analysts' use of the platform for better decisions and plans for enhanced data blending experiences. SAP Ventures' Jai Das noted Alteryx's disruption in analytics by enabling data blending from diverse sources like Big Data. This Series B round followed a $12 million raise in May 2013, bringing total funding to $78 million and signaling strong investor confidence in the data analytics app-building market via workflow interfaces.
May 2013Series ASapphire Ventures (lead); Toba Capital (lead)$18M-Alteryx, a provider of strategic analytics software, raised $12 million on May 20, 2013, from Toba Capital and existing investor SAP Ventures (later Sapphire Ventures). This Series A round brought total funding to $18 million following a prior $6 million seed investment. The financing supported accelerated growth through investments in sales, marketing, product development, and international expansion. Toba Capital, founded by former Quest Software CEO Vinny Smith, selected Alteryx as its first analytics investment. SAP Ventures, having invested in 2011, renewed support citing Alteryx's capabilities in cloud, big data, and predictive analytics. The platform targets data analysts, enabling workflow-based analytics from internal and third-party data sources. Alteryx positioned itself in the business intelligence market, estimated at $10-12 billion, competing with SAS and Tibco Spotfire by offering faster integration and usability for non-technical users like CMOs and CFOs.
