Akka Technologies Acquisition

The transaction valued AKKA at €2.0 billion enterprise value with an offer price of €49 per share, reflecting a 99% premium to the July 26, 2021 share price. As part of the deal, Mauro Ricci and Jean-Franck Ricci received Adecco Group shares with a 24-month lock-up. AKKA Technologies was combined with Modis, Adecco Group's high-tech services business, to form a leading engineering and digital solutions provider in the Smart Industry market, generating around €4 billion in revenues with 50,000 engineers. The Adecco Group planned a mandatory tender offer for remaining shares, expected by H1 2022 end. The acquisition accelerated Adecco's Future@Work strategy toward technology-led services, with expected revenue synergies over €200 million and cost synergies of €65 million run-rate, margin and EPS accretive in year one.
