Westinghouse Electric Company Acquisition

Westinghouse Electric Company was acquired by Brookfield Renewable Partners for $15B on 13 October 2022.

Westinghouse Electric Company is a leading nuclear services provider, servicing about half the global nuclear power generation sector as the original equipment manufacturer for more than half the world's nuclear reactor fleet. It offers mission-critical technology, services, and products with approximately 85% of revenue from long-term contracted or highly recurring customer services and nearly 100% customer retention. The company employs roughly 9,000 workers specialized in highly regulated markets worldwide. On October 11, 2022, Brookfield Renewable Partners, with its institutional partners, and Cameco Corporation formed a consortium to acquire 100% of Westinghouse from Brookfield Business Partners for a total enterprise value of $7.875 billion, with Westinghouse's existing debt remaining in place, resulting in an estimated $4.5 billion equity cost shared proportionately (Brookfield ~$2.3 billion, Cameco ~$2.2 billion). Brookfield Renewable expects to invest approximately $750 million for its 17% interest within the 51% consortium stake, funded through liquidity sources like asset upfinancings and recycling. Brookfield will own 51% and Cameco 49% post-transaction. The deal positions nuclear power centrally in the energy transition, combining Cameco's uranium fuel expertise with Brookfield's clean energy platform for growth. It closed in 2023 after regulatory approvals, with final EV adjusted to $8.2 billion due to working capital, and $3.8 billion debt reducing equity cost.

DateStageInvestorsRaisedDeal Summary
Feb 2017SecondaryToshiba Corporation (lead)$157MOn February 17, 2017, Toshiba Corporation announced the acquisition of IHI Corporation's stake in Westinghouse Electric Company, adjusting its ownership structure in the nuclear power company. Westinghouse Electric Company, established in 1886, is a major nuclear power systems manufacturer with approximately 12,000 employees operating globally in both boiling water reactor (BWR) and pressurized water reactor (PWR) technologies. According to Toshiba's fiscal year 2015/6 estimates, Westinghouse generated approximately US$3.1 billion in sales revenue, though this figure was revised downward from prior projections as the company faced declining revenues and operational challenges. The transaction occurred within a period of significant financial distress for both Toshiba and Westinghouse, driven by cost overruns in nuclear plant construction projects in the United States, regulatory complexities, and construction delays that ultimately led to Westinghouse's bankruptcy filing in March 2017.
