RTE Overview

About RTE

RTE (Réseau de Transport d'Électricité) is France's electricity transmission system operator, headquartered in the Paris La Défense business district. It owns, operates, maintains and develops the national high- and extra-high-voltage grid of about 105,800 km of lines, the largest in Europe, including around 50 cross-border interconnections, and balances electricity supply and demand in real time. Most of its revenue comes from regulated network access tariffs set by the French Energy Regulatory Commission (CRE), supplemented by interconnection revenues. In 2024 RTE reported revenue of EUR 5,559 million, EBITDA of EUR 1,622 million and investment of more than EUR 2.5 billion, and it employs about 10,800 people. RTE was established in July 2000 as a division of EDF when France unbundled electricity transmission and later became a separate company. Since March 2017 it has been held through a holding company owned 50.1% by EDF, 29.9% by Caisse des Dépôts and 20% by CNP Assurances.

DateStageInvestorsValuationDeal Summary
Dec 2016SecondaryCNP Assurances; Caisse des Dépôts$8.6BEDF, Caisse des Dépôts and CNP Assurances announced a binding agreement on 14 December 2016 for the acquisition of an indirect 49.9% interest in RTE by the two institutional investors. The transaction closed on 31 March 2017 after competition approvals and was based on an equity valuation of EUR 8.2 billion for the whole transmission business. EDF retained 50.1% of the holding company, while Caisse des Dépôts acquired 29.9% and CNP Assurances 20%. The arrangement provided a new shareholder framework for RTE's long-term infrastructure investment programme while maintaining its public-sector ownership base and independent transmission-operator status. For EDF, the disposal formed part of its asset-sale programme and reduced financial debt by approximately EUR 4 billion before any additional consideration. RTE operates France's high-voltage electricity network and supports the balance of supply and demand, cross-border connections and investment required by the energy transition. The disclosed valuation is for all RTE equity, rather than the cash price of the minority stake.
