Nikon Corporation announced its acquisition of SLM Solutions, a German metal 3D printer manufacturer, for €622 million (€20 per share) on September 2, 2022. The deal represented a 75% premium to the closing price on September 1, 2022, and an 84% premium over the three-month volume-weighted average price. Nikon secured binding commitments from all key shareholders, including Elliott Advisors UK Limited (20% shareholder), ENA Investment Capital, and founder Hans J. Ihde, eliminating the execution risk that had derailed GE's 2016 acquisition attempt at a higher valuation (€900 million). Concurrent with the takeover offer, SLM completed a 10% capital increase subscribed by Nikon for approximately €45.4 million to repay convertible bonds and fund operations. The acquisition was formally completed in January 2023, with SLM integrated into Nikon's digital manufacturing strategy. SLM Solutions manufactures large-format metal additive manufacturing systems serving aerospace, automotive, and military sectors. The acquisition aligns with Nikon's Vision 2030 strategic goals to strengthen its position in advanced manufacturing technologies. As of fiscal year 2024, Nikon SLM Solutions reported €150 million in revenue with 36% year-over-year growth. Nikon committed to allowing SLM to remain under its current management and pledged not to initiate a domination agreement for at least three years following completion.
