Global Atlantic Financial Group Limited is a leading retirement and life insurance company serving more than two million policyholders in the United States. The company is one of the largest fixed rate and fixed indexed annuity providers in the US, offering annuities through a network of banks, broker-dealers, and insurance agencies, as well as life insurance for individuals and corporates. The company also provides customized reinsurance solutions to institutional clients. On July 8, 2020, KKR & Co. Inc. announced a definitive agreement to acquire all outstanding shares of Global Atlantic for approximately $4.4 billion, valued at 1.0x the company's book value as of March 31, 2020. The transaction was characterized as strategic, strengthening KKR's leadership in the retirement and life insurance markets. Under the terms, KKR would fund the acquisition through a combination of cash on hand, minority co-investor proceeds, and potential new debt or equity issuance, with certain Global Atlantic shareholders having the opportunity to roll their equity interests into KKR. Following closing, Global Atlantic was intended to continue operating as a separate business under its existing brands and management team. A key strategic element was KKR's plan to serve as Global Atlantic's investment manager, providing access to KKR's asset management and origination capabilities. Pro forma for the transaction, KKR's assets under management would increase from $207 billion to $279 billion as of March 31, 2020, with permanent capital representing a growing share of total AUM.
