FireEye Overview

About FireEye

FireEye is a cybersecurity company that stops advanced security threats traditional antivirus software cannot detect, including zero-day attacks and advanced persistent threats. The company later split into two independent businesses: a Products business covering network, email, endpoint, and cloud security, sold to a Symphony Technology Group-led consortium in 2021, and Mandiant Solutions, which provides controls-agnostic threat intelligence and incident-response services. FireEye grew under CEO Dave DeWalt before going public, reporting $161.6 million in revenue and roughly 500 employees at the time of its 2013 funding round.

FireEye Acquisition

FireEye was acquired by Symphony Technology Group for $1.2B on 2 June 2021.

The acquisition price implies a 1.2x revenue and 10.4x EBITDA multiple on $990M of revenue.

Before the acquisition FireEye had raised $50M across 1 funding round.

FireEye, a cybersecurity company, announced on June 2, 2021, the sale of its FireEye Products business—which includes network, email, endpoint, and cloud security products along with the FireEye name—to a consortium led by Symphony Technology Group in an all-cash transaction valued at $1.2 billion before taxes and transaction-related expenses. The deal separates the Products business from FireEye's Mandiant Solutions, which focuses on controls-agnostic software and services including threat intelligence, allowing each to pursue independent growth strategies. The Products business and Mandiant Solutions will operate together until closing, expected by end of Q4 2021 pending regulatory approvals. The strategic rationale is to unlock value in the high-growth Mandiant business while enabling the FireEye Products business to prioritize cloud-first security investments under STG's portfolio, leveraging STG's expertise in software and cybersecurity carve-outs. FireEye CEO Kevin Mandia highlighted the separation's benefits for customer service and innovation focus. STG expressed enthusiasm for the mission-critical role of the Products business and plans to crystallize untapped opportunities. Advisors included Goldman Sachs and Wilson Sonsini for FireEye, and UBS, Jefferies, and Paul Hastings for STG.
