DBM Global Acquisition

DBM Global was acquired by IES Holdings for $650M on 10 August 2026.

IES Holdings agreed to acquire DBM Global from INNOVATE Corp. for a base purchase price of USD 650 million, with total consideration of about USD 685 million including minority interests and a USD 35 million cash payment related to a Section 338(h)(10) tax election. The consideration is structured as cash and IES common stock, with the cash portion funded from cash on hand and borrowings under an expanded credit facility, and the transaction is expected to close in the quarter ending December 31, 2026. The deal gives IES a new Structural line of business and expands its capabilities in vertically integrated structural steel fabrication, erection, and industrial services. Management described the acquisition as a way to broaden end-market exposure and leverage DBM Global’s nationwide fabrication footprint. DBM Global generated approximately USD 1.3 billion of revenue for the twelve months ended March 31, 2026. DBM Global is one of the largest independent structural steel fabrication and erection platforms in the U.S. INNOVATE held approximately 91.21% of DBM Global indirectly through DBM Global Intermediate Holdco Inc., with the remaining equity held by other stockholders. The transaction covers 100% of DBM Global common stock and includes 215,487 shares of IES common stock valued at USD 140 million at signing, plus cash consideration for the remainder.
