The transaction is structured as a stock-for-stock merger with an exchange ratio of 1.45 ordinary BPER shares for each BP Sondrio share, with no cash consideration. The merger is expected to close on April 20, 2026, and shareholder assemblies approved the transaction on March 12, 2026. The strategic rationale centers on creating a larger, more efficient, and more competitive banking group. BPER projects annual cost synergies of up to 190 million euros and revenue synergies of up to 100 million euros, offset by one-time integration costs estimated at approximately 400 million euros. The transaction qualifies as a related-party transaction of major significance under Italian regulations. BP Sondrio was already consolidated into BPER's accounts starting in the second half of 2025, contributing to BPER's record net income of 2.1 billion euros for the full year.
