Tourmaline Oil Corp., Canada's largest natural gas producer, acquired Black Swan Energy Ltd., a private equity-backed natural gas producer focused on the northeast British Columbia Montney formation, in an all-share deal announced in June 2021 and closed on July 15, 2021. Black Swan, formed in 2011 with principal shareholders including Warburg Pincus, Azimuth Capital Management, and Canada Pension Plan Investment Board, contributed current production of 50 MBoe/d, 231,000 acres of land, proven and probable reserves of 492 MMboe, and a 50% working interest in two gas plants with 265 MMcf/d capacity. The transaction, valued at approximately $1.1-1.2 billion including up to $350 million net debt assumption, boosted Tourmaline's production toward 500,000 BOE/d by mid-2022, with pro forma output of 2.25-2.3 Bcf/d gas and 115,000 bbl/d liquids. It consolidated Tourmaline's position in the liquids-rich NEBC Montney, adding 1,600 drilling locations and infrastructure for cost savings and future LNG export potential. Post-acquisition, Tourmaline entered related deals including a gross overriding royalty agreement with Topaz Energy for $145 million on the assets. The deal was equity-funded, accretive to metrics, and supported by recovering commodity prices, enhancing cash flow and enabling dividend increases.
